Terms of Service

These Terms govern your use of the Strategic Equity Network portal at app.sparkhealthadvisors.com and the website at sparkhealthadvisors.com (the "Services"), operated by Spark Health Advisors LLC ("Spark," "we," "us")

By signing in to the portal or otherwise using the Services, you agree to these Terms. If you don't agree, don't use the Services.

1. Who may use the Services

The portal is invitation-only and intended for business use. You must be at least 18 years old and have received an invitation from Spark. If you're using the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.

Your access is personal to you. Don't share your account, your sign-in link, or your credentials with anyone else — including colleagues who haven't been invited.

2. Your account

You're responsible for what happens under your account. Keep your sign-in method secure and tell us promptly at info@sparkhealthadvisors.comif you believe someone else has gained access.

You agree that the information you provide — your profile, your employer, your background, the conversations you log — is accurate and kept current. Much of how the Network operates depends on that being true.

We may suspend or terminate your access at any time, including if you violate these Terms, if your engagement with Spark ends, or if we discontinue the Services.

3. Confidentiality

This section matters more than the rest, so read it.

Through the portal you will encounter confidential information: client identities, client strategy and goals, materials clients have uploaded, buyer research findings, pipeline data, advisor compensation, and feedback about specific conversations. Some of it belongs to Spark and some belongs to our clients.

You agree to treat all non-public information you access through the Services as confidential. Specifically, you will not disclose it to anyone outside the Services, will not use it for any purpose other than your participation in the Network, and will not copy, export, or retain it after your access ends except as we've agreed in writing.

If you are a network member, this obligation exists alongside — and does not replace — any separate confidentiality or advisory agreement you've signed with Spark. Where they differ, the more protective term controls.

These obligations survive termination of your access.

4. Acceptable use

Don't do any of the following:

  • Access, or try to access, information belonging to another user, another client, or a part of the Services you haven't been given access to.

  • Probe, scan, or test the security of the Services, or interfere with their operation.

  • Scrape, bulk-export, or systematically collect data from the Services, whether manually or by automated means.

  • Upload malware, or files you don't have the right to share.

  • Use the Services to solicit Network members or clients for purposes unrelated to your Spark engagement.

  • Misrepresent your identity, employer, or affiliations.

  • Use the Services to violate any law, or any obligation you owe your own employer.

That last one deserves emphasis. Many Network members participate while employed elsewhere. You are responsible for ensuring your participation complies with your employer's policies, and for not disclosing your employer's confidential information through the Services.

5. Content you provide

You keep ownership of what you upload — your profile information, documents, photographs, and the notes you write. You grant Spark a non-exclusive license to host, display, and use that content as needed to operate the Services and deliver our client engagements, including sharing it with clients and Network members as described in our Privacy Policy.

You represent that you have the right to share whatever you upload, and that it doesn't infringe anyone's rights or breach any obligation you owe a third party.

We may remove content that violates these Terms.

6. Our intellectual property

The Services — the software, design, and Spark's own materials, research, and methodology — belong to Spark or our licensors. These Terms don't transfer any of that to you. Don't copy, modify, reverse engineer, or create derivative works from the Services.

"Spark Health Advisors" and "Strategic Executive Network" and our logos are our marks. Don't use them without written permission.

7. Compensation

If you are a network member, your compensation for advisory work is governed by the separate agreement between you and Spark, not by these Terms. Rates, hours, and payment status shown in the portal are records for your reference and convenience — they don't themselves create an entitlement to payment, and where the portal and your agreement disagree, your agreement controls. If you think a record is wrong, tell us.

8. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Services will be uninterrupted, error-free, or secure, or that information in them is complete or accurate.

Nothing in the Services is legal, financial, tax, or medical advice.

9. Limitation of liability

To the fullest extent permitted by law, Spark will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising out of your use of the Services — even if we've been advised such damages are possible.

Our total liability for any claim relating to the Services will not exceed the amount you paid us, if any, in the twelve months before the claim arose.

Some jurisdictions don't allow these limitations, in which case they apply to the maximum extent permitted.

10. Indemnification

You agree to indemnify and hold harmless Spark and its officers, employees, and agents from any claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

11. Changes

We may update these Terms. Material changes will be announced by updating the date above and, where appropriate, by email. Continuing to use the Services after a change means you accept the revised Terms.

We may also modify or discontinue any part of the Services at any time.

12. General

Governing law. These Terms are governed by the laws of the State of Colorado without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Denver, Colorado, and you consent to their jurisdiction.

Entire agreement. These Terms, together with the Privacy Policy and any separate written agreement you have with Spark, are the entire agreement between us regarding the Services.

Severability. If any provision is found unenforceable, the rest remains in effect.

No waiver. Our failure to enforce a provision isn't a waiver of it.

Assignment. You may not assign these Terms. We may, in connection with a merger, acquisition, or sale of assets.
